Title: Press Release: Invitation to Participate in the Opinion Poll on the Capital Markets Authority’s Project to Develop the Provisions of Module Fifteen (Corporate Governance) of the Executive Bylaws of Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and their amendments

Kuwait, April 20, 2025 – As part of the Capital Markets Authority’s (CMA) ongoing efforts to enhance the regulatory environment of Kuwait’s capital market, and in line with its strategic plans, the CMA has prepared a draft opinion poll that includes proposed amendments and additions to the provisions of Module Fifteen (Corporate Governance) of the Executive Bylaws of Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and their amendments.

These amendments reflect CMA’s close monitoring of the international practices of the principles of good governance and practical practices executed by all concerned parties addressed by the provisions of Module Fifteen (Corporate Governance) of the Executive Bylaws of Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and their amendments. In addition, the development process was implemented to achieve the regulatory and supervisory clarity and inclusion for questionable matters by some of the companies subject to the provisions of Module Fifteen (Corporate Governance) for the period preceding the issuance of the Executive Bylaws (second issuance) of the CMA’s Law after 2015.

Finally, within the framework of the CMA’s keenness and conviction of the importance of surveying the opinions of all those concerned with securities activities and the public of the amendments and additions conducted by the CMA to the provisions of Module Fifteen (Corporate Governance) of the Executive Bylaws of Law No. 7 of 2010 Regarding the Establishment of the Capital Markets Authority and Regulating Securities Activities and their amendments, the CMA would like to invite you to participate in the external opinion poll to limit all remarks and suggestions in introduction to complete the legal revisions and approve the necessary amendments and additions to the provisions of the Module mentioned above.

Moreover, you may review the draft amendments and additions to the provisions of Module Fifteen (Corporate Governance) of the Executive Bylaws previously mentioned and provide opinions and suggestions thereon no later than May 05, 2025.

The Capital Markets Authority was established pursuant to Law No. 7/2010, approved by the Kuwaiti Parliament in February 2010. Pursuant to the Law, the CMA shall regulate and supervise the securities activities, achieve transparency and fairness, observe listed companies’ execution of Corporate Governance regulations, and protect investors from unfair practices which violate the CMA's Law.
